Legal Notices

“Zion”, “we”, “our”, and “us” is not a bank. Any lending, BNPL, or card features are offered by one or more partner banks (Member FDIC) and program managers, subject to approval and local law. Features described here may not be available in all jurisdictions, only where laws and partners allow. Apple Pay is a trademark of Apple Inc.; Google Pay is a trademark of Google LLC. Use of these marks does not imply endorsement.

1. Acceptance of Terms

These Terms & Conditions (the "Terms") govern your access to and use of Zion’s websites, applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and any applicable product‑specific terms (e.g., a BNPL agreement from a partner bank). If you do not agree, do not use the Services.

2. Eligibility

  • You must be 18 years or older to participate.

  • You are responsible for ensuring that your participation complies with the laws of your country and jurisdiction.

  • To access certain features, you may be required to create an account and complete identity verification (KYC) and fraud checks. You agree to provide accurate information and keep it current.

  • Zion may decline, suspend, or terminate access at its sole discretion to comply with law, protect users, or manage risk.

3. Beta Features & Waitlist

  • By joining the ZION waitlist, you consent to receive project updates, announcements, and marketing communications.

  • ZION reserves the right to manage allocations, impose purchase limits, and deny access if necessary to protect fairness and security.

  • We may offer beta features or waitlist programs that are experimental and provided on an “AS IS” basis. Functionality may change, be limited, or be withdrawn at any time.

4. KYC/AML, Sanctions & Compliance

  • We conduct identity verification, sanctions/PEP screening, fraud checks, and other compliance measures as required by law and our bank/program partners.

  • You authorize Zion and its service providers to collect, verify, and retain information necessary to comply with BSA/AML and other regulatory requirements. See our Privacy Policy for details

5. Wallet Funding & Payment Rails

  • Supported funding sources and payout methods vary by region and partner, and may include ACH, push-to-card, and local rails (e.g., SEPA, Faster Payments, PIX), where lawful and partner-approved via third-party providers.

  • By linking a funding source, you authorize Zion and its partners to initiate transfers to and from that account to complete transactions, collect installments, fees, refunds, or chargebacks.

  • Transaction limits, holds, fees, and settlement timing may apply. We will disclose applicable fees and timing prior to each transaction where required.

6. Split-in-4 (BNPL): Summary

If your purchase involves a loan: The loan is made by [BANK PARTNER NAME], Member FDIC (the “Bank Partner”), under a separate agreement and disclosures presented at checkout. Zion provides technology and servicing support. Terms vary by state and merchant.

  • Disclosures: You will receive applicable Truth-in-Lending/Reg Z disclosures and payment schedule before confirming.

  • Payments: You agree to pay installments on the scheduled dates. Auto-debit may be required; ensure sufficient funds. Late/missed payments may incur fees where permitted by law and can affect eligibility.

  • Hardship: Contact support promptly for hardship options. We may offer payment plans or deferrals where allowed.

  • Collections & Reporting: Accounts may be referred to collections where required or permitted. Reporting to credit bureaus, if any, will be disclosed in your BNPL agreement.

7. Merchants & Transactions

  • Zion does not guarantee merchant inventory, pricing, or service quality. Disputes with a merchant should be attempted directly with the merchant first; notify Zion promptly if you cannot resolve an issue.

  • Refunds/Returns: Merchant policies apply. If a refund is issued, we will apply it to outstanding installments or your original funding source consistent with network and partner rules.

8. Fees & Taxes

  • We will disclose any fees before you confirm a transaction. Certain fees (e.g., late fees) may be limited or prohibited in some jurisdictions.

  • You are responsible for any taxes that may apply to your transactions.

9. Prohibited Activities

You agree not to use the Services to:

  • Violate any law, regulation, sanctions program, or third-party rights;

  • Engage in fraud, money laundering, terrorist financing, or other illicit activity;

  • Support high-risk categories without prior written approval (e.g., illegal drugs, IP infringement, unlicensed gambling, weapons, child exploitation, or any activity we or our partners deem prohibited). Zion may update prohibited categories from time to time.

10. Electronic Communications; E-Sign Consent; SMS

  • You agree to receive electronic communications (including agreements, disclosures, receipts, and notices). Provide a valid email and keep it current.

  • You consent to electronic signatures and records in connection with the Services.

  • If you opt in to SMS, you agree to receive texts for verification, reminders, and support. Message/data rates may apply. You can opt out by following instructions in the message.

11. Intellectual Property

  • The Services, including content, design, trademarks (e.g., “ZION”), and software, are owned by Zion or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

  • You may not copy, reproduce, or distribute ZION content without permission.

  • You grant Zion a non-exclusive, royalty-free license to use feedback you provide to improve the Services.

12. Third-Party Services

The Services may link to or integrate with third-party sites, services, or SDKs (e.g., identity verification, payment processors, mobile wallets). Zion is not responsible for third-party content, terms, or privacy practices. Your use of third-party services is governed by their terms.

13. Privacy & Data Use

Our Privacy Policy explains how we collect, use, share, and retain information. Certain data (e.g., biometrics) may be processed by vendors with your explicit consent and subject to retention limits and deletion rights where applicable law requires.

14. Termination & Suspension

We may suspend or terminate access for any reason, including suspected fraud, nonpayment, legal or regulatory requirements, or risk to users or partners. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (e.g., IP, disclaimers, liability limits, arbitration).

15. Warranties & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

16. Limitation of Liability

  • ZION is not liable for market fluctuations, service interruptions, or user mistakes.

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZION AND ITS AFFILIATES, PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.

  • Some jurisdictions do not allow certain limitations; in such cases, limits apply to the fullest extent permitted by law.

17. Indemnification

18. Governing Law; Dispute Resolution; Arbitration

  • Governing Law: These Terms are governed by the laws of the Alabama, without regard to conflict of law rules, except as preempted by federal law.

  • Arbitration & Class Action Waiver: Except for claims brought in small claims court, any dispute arising out of or relating to the Services or these Terms will be resolved by binding arbitration on an individual basis. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

19. State-/Country-Specific Notices (BNPL)

Certain states/countries may require additional disclosures or impose restrictions (e.g., fee caps, cooling-off periods, affordability checks). Where applicable, these will be presented during checkout or in your Bank Partner agreement.
